Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and BGAI Ventures LLC, the company that operates Orenna (“we,” “us”) governing your use of the Orenna website, web app, and mobile app (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use the Service. By using it, you represent that you are 18 or older and able to enter into this agreement.

2. Not medical, therapeutic, or crisis care

Orenna is a self-development and reflection tool. It is not therapy, counseling, or mediation, not a medical device, not a mental-health treatment, and not a substitute for a licensed therapist, psychiatrist, physician, or counselor. Orenna does not diagnose, treat, or provide professional, legal, financial, or medical advice. Do not rely on it for any decision that warrants a qualified professional.

Using Orenna creates no therapist-client, doctor-patient, or other professional healthcare relationship with Orenna or BGAI Ventures LLC, and Orenna makes no claim of therapeutic benefit.

Orenna is not a crisis or emergency service. If you are in crisis or in danger, call 911 (or your local emergency number) or, in the US, the 988 Suicide & Crisis Lifeline, or go to the nearest emergency room. Any safety feature in the Service is a best-effort aid, not a guaranteed intervention.

Non-detection waiver. Orenna’s crisis detection is automated and imperfect. It may not catch every signal, and you must not rely on it to detect when you or anyone else is in danger. We do not warrant that any safety event will be detected or escalated, and we disclaim liability for non-detection. If you are in crisis, seek help directly using the resources above.

3. AI-generated content

Orenna’s responses are generated by artificial intelligence. AI output can be confidently wrong: it may appear accurate and detailed yet contain material errors or fabrications, and it may be inaccurate, incomplete, or unsuitable for your situation. It does not represent professional advice or the views of Orenna, and you must not rely on it as fact or as a substitute for professional judgment. You are responsible for how you use anything the Service produces.

4. Assumption of risk

You understand and accept that Orenna is an AI wellness and self-reflection tool, not a medical, therapeutic, or crisis service, and that using it carries inherent limitations and risks. These include that the AI may be inaccurate or produce unexpected output, that automated safety detection may fail, and that Orenna is not a substitute for professional care or human support. To the fullest extent permitted by law, you knowingly and voluntarily assume the risks of relying on an AI wellness tool, and you agree to seek qualified professional help for any medical, psychological, or crisis need.

5. Your account

You are responsible for your account and for keeping your login secure. Provide accurate information and let us know promptly of any unauthorized use. You may delete your account at any time from Settings.

6. Acceptable use

You agree not to:

  • use the Service for anything unlawful, harmful, or abusive;
  • use it on behalf of another person without their consent;
  • attempt to reverse-engineer, scrape, or extract the Service or its models;
  • interfere with or overload the Service, or bypass its limits or security;
  • misrepresent your identity or impersonate others.

7. Subscriptions, billing, and auto-renewal

Paid plans are offered on a monthly or annual basis, at the price and cycle shown at checkout. By subscribing, you authorize us (and our payment processor) to charge your payment method the disclosed amount on a recurring basis.

Your subscription automatically renews at the end of each billing period at the then-current price until you cancel. You can cancel at any time before your next renewal from Settings or the billing portal; cancellation takes effect at the end of the current period and you keep access until then. Cancelling is as simple as subscribing: you can do it yourself, online, in the same place you manage your plan, without contacting us. Purchases made through the Apple App Store or Google Play are billed and cancelled through that store under its terms.

8. Free trials, refunds, and the 90-Day Promise

Where a free trial is offered, it converts to a paid subscription at the end of the trial unless you cancel before it ends; we will remind you before a trial converts and before the first charge. Except where a refund is required by law or your app store’s policy, monthly fees are non-refundable. For annual plans purchased directly from us, our 90-Day Promise applies: if Orenna is not for you, contact us within 90 days of your first annual purchase for a full refund.

9. Price changes

We may change subscription prices. If we increase the price of your plan, we will give you advance notice (at least 30 days, by email or in the app) before the change takes effect, so you can review it and cancel before your next renewal if you do not agree. Continuing your subscription after the effective date means you accept the new price.

10. Coaches, HIPAA, and health data

Coaches who use Orenna are independent professionals, not employees or agents of BGAI Ventures LLC, and we do not supervise, endorse, or take responsibility for the coaching they provide. If you connect with a coach, the coaching relationship is between you and them. You control what a coach can see through your consent settings, as described in the Privacy Policy.

Orenna is not HIPAA-compliant and is not a HIPAA business associate. Do not use Orenna to create, receive, store, or transmit Protected Health Information, and do not use it as a licensed healthcare provider to deliver care.

Consumer health data. What you share with Orenna can reveal information about your mental and emotional health. We treat this as consumer health data, and we collect it and share it with our essential service providers only with your separate, affirmative consent, as described in our Consumer Health Data Privacy Policy and Privacy Policy. You can withdraw that consent at any time, and we do not sell your consumer health data.

11. Your content and our intellectual property

You keep ownership of the content you provide. You grant us a limited license to process it solely to operate and improve the Service for you, as described in the Privacy Policy. The Service itself, meaning the software, design, and Orenna brand, belongs to us, and we grant you a personal, non-transferable, revocable right to use it under these Terms.

12. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that its output will be accurate or suitable for any purpose.

13. Limitation of liability

To the fullest extent permitted by law, BGAI Ventures LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred US dollars (US$100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Data-breach carve-out (uncapped). The cap above does not limit our liability for a data breach, or a failure of our security or confidentiality obligations, affecting your personal information; that liability is not capped by this section. The party that holds sensitive data bears real responsibility for protecting it. Nothing in these Terms limits any liability that cannot be limited under applicable law.

14. Indemnification

You agree to indemnify and hold BGAI Ventures LLC harmless from claims, losses, and expenses arising out of your misuse of the Service or your violation of these Terms or of any law or third-party right. This does not apply to the extent a claim arises from BGAI Ventures LLC’s own gross negligence or willful misconduct.

15. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you violate these Terms or to protect the Service or its users. Sections that by their nature should survive termination will survive.

16. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules.

Informal notice and cure first. Before filing any claim, you agree to give us written notice of the dispute and a 30-day period to resolve or cure it informally. Arbitration or any other proceeding may be started only if the dispute is not resolved within that period.

Binding individual arbitration; class-action and representative-action waiver. Any unresolved dispute will be resolved by binding individual arbitration rather than in court, except that either party may bring an individual claim in small-claims court. To the extent permitted by law, you and BGAI Ventures LLC waive any right to a jury trial and any right to bring or participate in a class action or representative action. You may opt out of arbitration by emailing legal@orenna.ai within 30 days of first accepting these Terms; if you opt out, any court action will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida.

Assent. The enforceability of the arbitration agreement, the class-action and representative-action waiver, and the liability limitations in these Terms depends on your assent to these Terms. We capture that assent when you create your account: you must check a box confirming you are 18 or older and agree to these Terms and the Privacy Policy before you can sign up, and we record that acceptance, with its version and time, on your account.

17. Events beyond our control

We are not responsible for any failure or delay in providing the Service caused by events beyond our reasonable control, including outages of third-party infrastructure, network failures, natural events, or acts of government.

18. Changes to these Terms

We may update these Terms from time to time. For material changes, we will provide notice in the app or by email before they take effect, and the date above will be updated. Continuing to use the Service after a change means you accept the updated Terms.
